NOTICE OF PUBLIC HEARING

NOTICE IS HEREBY GIVEN that a telephonic public hearing will be held by a hearing officer on behalf of Coffee County, Alabama (the “County”), at 3:00 P.M. on November 7th, 2025, or as soon thereafter as the matter can be heard, using the toll-free telephone conference instructions provided below, regarding the proposed issuance of tax-exempt revenue notes, bonds or other obligations in one or more series from time to time pursuant to a plan of financing (collectively, the “Bonds”), in an aggregate principal amount not to exceed $190,000,000, by the Public Finance Authority (the “Issuer”), a commission organized under and pursuant to the provisions of Sections 66.0301, 66.0303, and 66.0304 of the Wisconsin Statutes, as amended (the “Act”). The public hearing is required by Section 147(f) of the Internal Revenue Code of 1986, as amended (the “Code”). 

The following information has been provided by the Borrower (as defined below) for this Notice:

 Forgewell Collective, LLC, RBS Evolution of Oklahoma, LLC (d/b/a Northeast Oklahoma Cancer Institute), 2406 Cancer Care LLC, Limitless Partners, LLC and Collective Management Services, LLC (collectively, the “Borrower”) have requested that the Issuer issue the Bonds as “qualified 501(c)(3) bonds” (as defined in Section 145 of the Code) to finance the Project (as defined below). Each Borrower is (or as a result of the transaction associated with the issuance of the Bonds will be) a single member limited liability company that is disregarded as an entity separate from its sole direct or indirect member, which is or will be Anoma Cancer Collective Foundation, a Delaware nonprofit corporation and an organization described in Section 501(c)(3) of the Code (the “Foundation”). The Foundation will own and operate the Project either directly or indirectly through one or more of the Borrowers, and will be the true beneficial party of interest for the Project.

 The proceeds from the sale of the Bonds will be used by the Issuer to make a loan to the Borrower to (a) either via the acquisition of the membership interests in the entities that own such assets or through the acquisition of such assets directly, finance the acquisition of various existing radiation oncology centers (collectively, the “Project”) located within the territorial limits of (i) the County (ii) Pierce County, Washington; (iii) Covington County, Alabama; (iv) Houston County, Alabama; (v) City of Dublin, Georgia; (vi) Jackson County, Florida; (vii) City of Claremore, Oklahoma; and (viii) Bexar County, Texas (collectively, the “Project Jurisdictions”), including the equipment related to such centers and contracting with one or more professional physician practices or individual physicians to provide services in such centers; (b) establish a debt service reserve fund for the benefit of one or more series of the Bonds, and (c) pay certain expenses incurred in connection with the issuance of the Bonds (collectively, the “Financing Purposes”).

 The principal amount of the Bonds that will be used for the portion of the Project within the County will not exceed $21,000,000. The portion of the Project within the County is located at the following address: 203 E. Adams Street, Enterprise AL 36330. Portions of the Project located outside the County will each be subject to a separate public hearing in the respective Project Jurisdiction. 

The Bonds, including the principal of (premium, if any) and interest thereon, are special limited obligations of the Issuer and none of the Issuer, any Member or Sponsor of the Issuer, the State of Wisconsin or any political subdivision or agency thereof or any political subdivision approving the issuance of the Bonds (including the State of Alabama, the County and any other of the Project Jurisdictions) shall be obligated to pay the principal of (premium, if any), and interest thereon or any costs incidental thereto. The Bonds are not a debt of the State of Wisconsin, the State of Alabama or the County, and do not and shall never constitute or give rise to a pecuniary liability of the Issuer, the State of Wisconsin or any political subdivision thereof, the State of Alabama or the County. The Bonds shall not constitute, directly or indirectly, or contingently obligate or otherwise constitute a general obligation of or a charge against the 2 general credit of the Issuer, the State of Wisconsin or any political subdivision thereof, the State of Alabama or the County, within the meaning of any State of Alabama Constitutional provision or statutory limitation, but shall be special limited obligations of the Issuer payable solely from the sources provided for in the proceedings for the issuance of the Bonds. The Issuer has no taxing power. 

At the date and time fixed for the telephonic public hearing, interested persons will be given a reasonable opportunity to express their views orally on the merits of the Financing Purposes, the Project’s location, the issuance of the Bonds or related matters.
